• Notifying us immediately of any unauthorized use of your account

• You are of legal age to form a binding contract in your jurisdiction

• You have the legal capacity and authority to enter into these Terms

• You will comply with all applicable laws, regulations, and trading platform rules

• You are not prohibited from using the Service under any applicable laws or regulations

• You are not located in a jurisdiction where the Service is prohibited or restricted

• If you are using the Service on behalf of a company or organization, you have the authority to bind that entity to these Terms

Prohibited Jurisdictions: We reserve the right to restrict or prohibit access to the Service from certain jurisdictions at our sole discretion.

4.3 Account Suspension and Termination

We reserve the right, in our sole discretion and without prior notice, to:

• Suspend, terminate, or restrict your account if you violate these Terms or any applicable laws

• Remove, delete, or block any content, strategies, or data that violates our policies

• Refuse service to anyone for any reason at any time, including but not limited to:

  • Violation of these Terms

  • Fraudulent, illegal, or harmful activity

  • Abuse of the Service or other users

  • Attempts to circumvent subscription limitations or security measures

  • Non-payment of subscription fees (after grace period)

• Delete your account and all associated data upon termination, without obligation to provide backups or data export

Effect of Suspension or Termination:

Upon suspension or termination:

• Your access to the Service will be immediately revoked

• We may delete your account and all associated data, including strategies and generated code

• You will not be entitled to any refund for unused subscription periods (except as provided in Section 6.4)

• You remain liable for all charges incurred prior to termination

5.1 Available Plans

5.2 Subscription Terms

• Billing Cycle: Subscriptions are billed monthly or yearly, as selected during signup

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled

• Price Changes: We reserve the right to modify subscription prices. Existing subscribers will be notified 30 days in advance of any price changes

• Plan Changes: You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle

• Grace Period: If payment fails, you have a 3-day grace period to update your payment method before service suspension

5.3 Subscription Limitations

Each subscription plan has specific limitations:

• Maximum number of strategies

• Maximum number of timeframes per strategy

• Maximum number of indicators

• Maximum number of market filters

• Code generation permissions

• Editing capabilities (parameter-only vs. full editing)

These limitations are enforced by the platform and cannot be bypassed. Attempting to exceed these limits may result in account suspension.

6.1 Payment Processing

• Payments are processed through Stripe, a third-party payment processor

• We do not store or process credit card information directly

• All payment information is handled according to Stripe's security standards

• By providing payment information, you authorize us to charge your payment method for subscription fees

6.2 Payment Methods

We accept:

• Credit cards (Visa, Mastercard, American Express)

• Debit cards

• Other payment methods as supported by Stripe

6.3 Billing

• Subscription fees are charged in advance for each billing period

• All prices are displayed in Euros (€) and include applicable taxes (VAT) where required

• VAT is calculated automatically based on your billing country

• Invoices are generated automatically and can be accessed through your account

6.4 Refund Policy

Free Plan: No refund applicable (no payment required)

Paid Plans:

14-Day Money-Back Guarantee (EU Right of Withdrawal): If you are a consumer located in the European Union, you have the right to withdraw from your subscription contract within 14 days of your initial subscription purchase without giving any reason. To exercise this right, you must inform us of your decision to withdraw by contacting us at [EMAIL ADDRESS] before the 14-day period expires.

Refund Eligibility:

• Refunds are only available for the first subscription payment within 14 days of purchase

• Renewals, upgrades, and subsequent billing periods are NOT eligible for refunds

• Refunds are NOT available if you have generated code or used paid features extensively

• Refunds are at our sole discretion and may be denied if we suspect abuse, fraud, or violation of these Terms

• Reason for refund request

Refund Timeline: Refunds are processed within 5-10 business days after approval. Refunds will be issued to the original payment method used for the purchase.

Partial Refunds: Partial refunds for unused portions of annual subscriptions may be provided in exceptional circumstances, at our sole discretion. No partial refunds are available for monthly subscriptions.

No Refund for Service Issues:

We do not provide refunds for:

• Service interruptions or temporary unavailability

• Changes to features or functionality

• Dissatisfaction with generated code quality or strategy performance

• Trading losses or poor trading results

• Incompatibility with third-party trading platforms

6.5 Cancellation

• You may cancel your subscription at any time through your account settings

• Cancellation takes effect at the end of your current billing period

• You will continue to have access to paid features until the end of your billing period

• No refunds are provided for the remaining period after cancellation

• To cancel, go to your account settings or contact us at [EMAIL ADDRESS]

6.6 Failed Payments

• If payment fails, we will attempt to charge your payment method again

• After 3 failed payment attempts, your subscription will enter a grace period (3 days)

• During the grace period, you can update your payment method to restore service

• If payment is not updated within the grace period, your subscription will be suspended

• Suspended accounts lose access to paid features but retain access to saved strategies

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. You agree NOT to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose

• Violate any laws, regulations, third-party rights, or trading platform terms of service

• Transmit, upload, or introduce any viruses, malware, Trojan horses, worms, or other harmful code

• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems

• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service

• Use automated systems (bots, scrapers, scripts) to access, monitor, or interact with the Service without our express written permission

• Interfere with, disrupt, or damage the Service, servers, networks, or infrastructure

• Share, sell, or transfer your account credentials to others

• Create multiple accounts to circumvent subscription limitations, restrictions, or fees

• Use the Service to create strategies that violate trading platform terms of service, market manipulation rules, or applicable financial regulations

• Use the Service in any way that could damage, disable, overburden, or impair our servers or networks

• Collect or harvest information about other users without their consent

• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

• Use the Service to compete with us or to build a similar or competing service

• Remove, circumvent, or modify any copyright, trademark, or other proprietary notices

• Use the Service in any jurisdiction where it is prohibited or restricted

7.2 Strategy Content and Generated Code

Your Sole Responsibility:

You are solely and entirely responsible for:

• The content, logic, accuracy, and legality of all strategies you create using the Service

• Ensuring your strategies comply with all applicable laws, regulations, and trading platform rules

• The accuracy, legality, and appropriateness of all trading strategies and generated code

• Testing, validating, and verifying all strategies and generated code before use in live trading

• All trading decisions, actions, and their consequences, including all profits and losses

• Compliance with all applicable financial regulations, trading rules, and market regulations

• Ensuring that strategies and generated code do not violate any third-party rights or trading platform terms

• The security, backup, and protection of your strategies and data

No Warranty on Generated Code:

We make NO warranties, representations, or guarantees regarding:

• The accuracy, correctness, or functionality of generated code

• The compatibility of generated code with any trading platform or system

• The performance, profitability, or effectiveness of generated code

• The absence of errors, bugs, or defects in generated code

• The suitability of generated code for your specific trading objectives or risk tolerance

Code Quality Disclaimer:

Generated code is provided "AS IS" without any warranty. You acknowledge that:

• Generated code may contain errors, bugs, or defects

• Generated code may not function as intended or expected

• Generated code may not be compatible with all trading platforms or configurations

• You must thoroughly test and validate all generated code before use in live trading

• We are not responsible for any losses, damages, or consequences resulting from the use of generated code

7.3 Trading Risks and Disclaimers

CRITICAL TRADING RISK WARNINGS:

8.1 Our Intellectual Property

All content, features, and functionality of the Service, including but not limited to:

• The AlfaTactix platform, software, and code

• User interface, design, and layout

• Documentation, tutorials, and guides

• Logos, trademarks, and brand names

are owned by AlfaTactix and protected by international copyright, trademark, and other intellectual property laws.

8.2 Your Intellectual Property

• Strategy Ownership: You retain ownership of the trading strategies you create using the Service

• Generated Code: You own the code generated from your strategies and may use it for any purpose

• User Content: You grant us a limited license to store, process, and display your strategies as necessary to provide the Service

8.3 License to Use Service

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your personal or commercial use

• Generate code from your strategies

• Use generated code in third-party trading platforms

This license does not include:

• The right to resell, redistribute, or sublicense the Service

• The right to copy, modify, or create derivative works of the Service

• The right to use our trademarks or branding without permission

10.1 Service Availability and Modifications

No Uptime Guarantee:

We strive to maintain Service availability but do NOT guarantee uninterrupted, error-free, or continuous operation. The Service may be temporarily or permanently unavailable due to:

• Maintenance, updates, or upgrades

• Technical issues, bugs, or errors

• Server failures or network problems

• Third-party service outages

• Force majeure events

• Security threats or attacks

• Our business decisions

Service Modifications:

We reserve the right, at any time and without prior notice, to:

• Modify, update, or change the Service, features, or functionality

• Add, remove, or modify subscription plans, pricing, or limitations

• Discontinue, suspend, or terminate any feature or the entire Service

• Change technical requirements or compatibility standards

No Liability for Service Changes:

We are not liable for any loss or damage resulting from:

• Service unavailability, interruptions, or downtime

• Changes to features, functionality, or limitations

• Discontinuation of features or the Service

THE SERVICE, INCLUDING ALL FEATURES, TOOLS, GENERATED CODE, AND FUNCTIONALITY, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY, CORRECTNESS, OR RELIABILITY OF THE SERVICE, STRATEGIES, OR GENERATED CODE

• UNINTERRUPTED OR ERROR-FREE OPERATION

• SECURITY OR PROTECTION AGAINST UNAUTHORIZED ACCESS

• COMPATIBILITY WITH THIRD-PARTY SYSTEMS OR PLATFORMS

• RESULTS, PERFORMANCE, OR PROFITABILITY OF STRATEGIES OR GENERATED CODE

• ABSENCE OF ERRORS, BUGS, OR DEFECTS

WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

10.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALFATACTIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

• LOSS OF PROFITS, REVENUE, INCOME, OR BUSINESS OPPORTUNITIES

• LOSS OF DATA, STRATEGIES, OR INFORMATION

• LOSS OF USE OF THE SERVICE OR ANY FEATURE

• TRADING LOSSES, FINANCIAL DAMAGES, OR INVESTMENT LOSSES OF ANY KIND

• DAMAGES RESULTING FROM USE OR INABILITY TO USE THE SERVICE, STRATEGIES, OR GENERATED CODE

• DAMAGES RESULTING FROM SERVICE UNAVAILABILITY, INTERRUPTIONS, OR DOWNTIME

• DAMAGES RESULTING FROM ERRORS, BUGS, OR DEFECTS IN THE SERVICE OR GENERATED CODE

• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SECURITY INCIDENTS

• DAMAGES RESULTING FROM THIRD-PARTY ACTIONS, SERVICES, OR PLATFORMS

• DAMAGES RESULTING FROM CHANGES TO THE SERVICE, FEATURES, OR FUNCTIONALITY

• ANY OTHER LOSSES OR DAMAGES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE)

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100 (EUROS), WHICHEVER IS GREATER.

IF YOU HAVE NOT PAID ANY AMOUNT TO US, OUR TOTAL LIABILITY SHALL NOT EXCEED €100 (EUROS).

10.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability is limited to the maximum extent permitted by applicable law. However, nothing in these Terms shall limit or exclude our liability for:

• Death or personal injury caused by our negligence

• Fraud or fraudulent misrepresentation

• Any other liability that cannot be excluded or limited under applicable law

12.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription (if applicable)

• Contacting us to delete your account

• Ceasing to use the Service

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You violate these Terms

• You engage in fraudulent or illegal activity

• You fail to pay subscription fees (after grace period)

• We discontinue the Service

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases

• We may delete your account and associated data

• You will not receive a refund for any unused subscription period (except as provided in Section 6.4)

• Generated code remains yours to use

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION], without regard to its conflict of law provisions. If you are a consumer located in the European Union, you may also have rights under the laws of your country of residence.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
